Company Overview

Course Report is the leading review aggregator for tech bootcamps: they provide high-quality content related to tech bootcamps, driving significant site traffic. This was then monetized primarily through a sophisticated tool that matched students to those boot camps. They have best-in-class SEO metrics and at the time of the sale were outperforming the closest direct peer by 2x in terms of keyword visibility. 

Course Report served as a critical resource for prospective coding bootcamp students, offering comprehensive reviews, insights, and comparisons across the technical education landscape. It had established itself as the go-to destination for individuals seeking transparent and detailed information about coding bootcamp programs.

Goal of the Transaction

The Course Report founders approached the potential sale with clear strategic objectives:

  • Unlock the full potential of their platform through a sale to the right strategic buyer
  • Create a liquidity event that would reward their years of building
  • Explore opportunities to extend the company’s mission of supporting tech education beyond its current capabilities

Process

ScaleView Partners designed an approach to the transaction that went beyond traditional marketing strategies. We began with a targeted outreach to a group of conventional buyers, generating initial bids in a range commensurate with market multiples for these kinds of businesses. However, recognizing the need for a broader approach, we expanded our process to include additional buyers. These buyers were in adjacent industries that might not make sense on paper, but who could also see value in the platform if it aligned with their strategies.

The second phase of our strategy involved running a wide-ranging process that cast this broader net. We ended up engaging with hundreds of potential buyers. This extensive outreach proved critical, as the winning bid ultimately came from an acquirer outside the initial group of targeted buyers (and one that the seller didn’t know about before the transaction). 

A big reason that the buyer, Career.io (owned by private equity firm BV Investment Partners), was able to pay a higher price was they were structurally different then the other buyers. They were a SaaS business that was significantly larger, and thus traded at a higher multiple than the buyers who operated with more traditional lead generation business models. This meant that Course Report’s revenue would be valued more favorably within Career.io’s ecosystem. 

The difference in company scale and market valuation created a unique opportunity to maximize the transaction’s value, demonstrating the importance of finding the right strategic buyer beyond traditional market boundaries. In this process, we were able to generate interest that ultimately resulted in a 71% upside in the enterprise value multiple compared to the initial conventional set of acquirers.

Outcome

In early 2024 Course Report was officially acquired by Career.io.

The transaction with Career.io represented a strategic combination of complementary platforms in the tech education market. Career.io, a growing platform in the career development and education space, saw potential in going “upstream” with Course Report’s comprehensive review and information ecosystem.

Course Report’s content and SEO capabilities provided Career.io with an immediate opportunity to enhance its offerings in the tech education market. The platform’s ability to generate high-quality traffic and provide detailed insights into bootcamp programs offered a strategic asset that could be leveraged across Career.io’s broader career development solutions.

An important aspect of the transaction involved navigating the complexities of Qualified Small Business Stock (QSBS). Our team worked closely with the founders to structure the deal in a way that maximized potential tax benefits, helping them optimize the financial outcome of their years of hard work.

The sale positioned Course Report’s platform for continued growth and development within a larger ecosystem and the founders were able to realize the value of their business while finding a home that could support its continued evolution.
